IN NO EVENT SHALL WING SNOB'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO WING SNOB IN THE SIX (6) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU IN ITS ENTIRETY. IN SUCH CASES, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

10. Indemnification

You agree to defend, indemnify, and hold harmless Wing Snob, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, licensors, service providers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of any applicable law, regulation, or third-party right, including any intellectual property rights or privacy rights;

11. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the United States of America and the applicable state laws of the state where Wing Snob operates, without regard to any conflicts of law principles that would require the application of the laws of a different jurisdiction.

Any legal action, proceeding, or dispute arising out of or relating to these Terms, the Site, or our services that is not resolved through arbitration as set forth below shall be subject to the exclusive jurisdiction of the state and federal courts located in the United States, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection to such jurisdiction or venue.

Wing Snob's services and operations are subject to applicable federal laws and regulations, including but not limited to the Federal Trade Commission Act (15 U.S.C. § 41 et seq.), which prohibits unfair or deceptive acts or practices in or affecting commerce, and all applicable United States Department of Agriculture (USDA) and Food and Drug Administration (FDA) food safety regulations. To the extent that Wing Snob serves customers in California, the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA) may also apply with respect to the collection and processing of personal information.

12. Dispute Resolution and Arbitration

12.1 Informal Resolution

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or our services by contacting Wing Snob directly at [email protected]. We will make reasonable efforts to resolve your concern informally within thirty (30) days of receiving your written notice describing the nature of the dispute and the relief sought.

12.2 Binding Arbitration

12.3 Class Action Waiver

YOU AND WING SNOB AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. Unless both you and Wing Snob agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not preside over any form of a representative or class proceeding.

12.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes within the jurisdictional limits of such court. Either party may also seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration.

12.5 Opt-Out

You may opt out of the binding arbitration provision by sending written notice to Wing Snob at [email protected] within thirty (30) days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in the courts as described in the Governing Law section above.

13. Term and Termination
